Terms of Service

These Terms of Service (these “Terms” or this “Agreement”) are a contract between Osint Daily, a service of Redwing Technologies LLC (“Osint Daily”, “we”, “us”, or “our”), and you (“you” or the “User”). They govern your use of the Osint Daily website at osint-daily.com and any related features, newsletters, or pages we operate (collectively, the “Services”), including our directory of open-source intelligence tools and related listings (the “Directory”).

These Terms describe the Services we provide, their limits, and how you may use the Services and any content they make available. By using the Services, you agree to be legally bound by these Terms and by the policies they incorporate by reference, including our Privacy Policy.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM AS A CONDITION OF YOUR USE OF THE SERVICES.

ARBITRATION NOTICE. Except for the matters described in Section 10, disputes between you and Osint Daily will be resolved by binding, individual arbitration. BY ACCEPTING THESE TERMS, YOU AND OSINT DAILY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING. Your claims will be decided by a neutral arbitrator, not a judge or jury (except for matters that may be brought in small claims court). You may opt out of arbitration as described in Section 10.

If you do not agree to all of these Terms, you may not access or use the Services.

The Services are available only to people who are at least 18 years old. By using the Services, you confirm that you are at least 18. If you are not, you must stop using the Services immediately. If you use the Services on behalf of an organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.

Some features of the Services (such as newsletter signup, sponsorship inquiries, or future account-based features) may require you to provide an email address or create an account. You agree to provide accurate information and to keep it current. You are responsible for keeping access to any account and the email address associated with it secure, and for all activity under your account.

Tell us immediately at support@osint-daily.com if you become aware of any unauthorized or unacceptable use of your account or any other security breach. Osint Daily is not liable for losses caused by your acts or omissions, or by use of your account that you did not prevent.

Where an account is offered, it is for one individual unless we say otherwise. Do not share your account or access credentials. By creating an account you confirm that you are a human; accounts created by bots or other automated means are not permitted.

You must use the Services responsibly and professionally, consistently with these Terms, the intended purpose of the Services, and applicable law. In particular, you will:

• use the Directory and related content for lawful research, education, security, journalism, investigation, or professional purposes;
• evaluate third-party tools and links yourself before relying on them; and
• stop using the Services when these Terms end, except as required by law.

When you use the Services, you will not:

• use them for any illegal, unauthorized, fraudulent or harmful purpose, including harassing, threatening, stalking, intimidating or doxxing anyone;
• violate any law that applies to you or to your use of the Services, including laws on privacy, data protection, copyright and trademark;
• use them in a way that harms or impairs anyone else’s access to or enjoyment of the Services;
• upload, transmit or distribute any malware, spyware, viruses or other malicious code through the Services;
• engage in systematic, automated or excessive collection or extraction of data from the Services (including scraping, crawling, data mining or harvesting) without our prior written consent, or get around rate limits or access controls;
• reproduce our editorial content or the compilation of the Directory elsewhere, or sell, rent, sublicense, publish or otherwise commercially exploit our content or anything derived from it, without our prior written consent;
• create or use software, scripts, bots, browser extensions or any other technology to copy or extract content from the Services without our prior written consent;
• remove or alter any copyright, trademark or other proprietary notices in the Services; or
• attempt to breach the security of the Services, gain unauthorized access to them, or help anyone else do so.

Listing a third-party tool in the Directory does not mean we endorse, operate, or control that tool. Third-party sites and products have their own terms and policies.

Abuse or excessive use of the Services may lead us to limit, suspend or end your access, temporarily or permanently. We decide in our sole discretion what counts as abuse or excessive use. Where reasonable, we will try to warn you by email before suspending access. To the extent permitted by law, these changes may take effect when we notify you.

Access to the public Directory is generally free. We may display advertising, sponsored placements, and cross-promotions for our own products and for third parties. Sponsorship and advertising opportunities are described on the Services or by inquiry to us; commercial placements may be subject to separate written agreements.

If we offer optional paid features, subscriptions, or premium listings in the future, pricing will be shown on the Services or in a separate order form. Unless a separate agreement says otherwise, paid amounts billed through our payment processor are billed in advance, renew as described at checkout, and are non-refundable except where the law requires otherwise. We may change prices for optional paid features with reasonable notice; a new price applies to the next billing period after the notice period, and you may cancel before it takes effect.

These Terms do not transfer to you any intellectual property owned by Osint Daily, Redwing Technologies LLC or any third party. As between you and us, all right, title and interest in the Services, including the software, design, branding, and the compilation and presentation of the Directory, remains with Osint Daily and Redwing Technologies LLC.

Third-party tools, names, logos, and websites referenced in the Directory remain the property of their respective owners. We claim no ownership of content or materials you provide to us, other than feedback as described in Section 11.

Subject to your full and continuing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own lawful purposes in accordance with these Terms.

• You may not duplicate, resell, reuse, exploit or reverse engineer the Services or our content compilation without our written permission.
• You may not run any automated system, such as robots, spiders or offline readers, that extracts content from the Services beyond ordinary search-engine indexing we allow via robots.txt, without our prior written consent.
• Without our prior written consent, you may not create any product or dataset for commercial sale that incorporates or is derived from our Directory compilation.
• You may not use the Services in a way that breaches any agreement you have with a third party.
• You will comply with all privacy and data protection laws that apply to your use of the Services.

Except where these Terms say otherwise, the Services are provided “as is” and “as available”. We may update, correct, change or remove listings and content at any time. We work diligently to keep the Services useful, but much of the Directory describes third-party tools and sources we do not control.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. In particular, we do not warrant that:

• the Services will meet your requirements or expectations;
• Directory listings or related content are current, accurate or complete;
• the Services will be uninterrupted, timely, secure or free of errors or bugs; or
• any errors in the Services will be corrected.

To the fullest extent permitted by law, in no event will Osint Daily, Redwing Technologies LLC, or their suppliers or licensors be liable for anything relating to these Terms or the Services, under any contract, negligence, strict liability or other legal or equitable theory, for: (i) any special, incidental, indirect or consequential damages; (ii) the cost of substitute products or services; (iii) interruption of use or loss or corruption of data; or (iv) any amount exceeding the greater of (a) the fees you paid us under these Terms in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100) if you have paid us no fees. We are not liable for any failure or delay caused by matters beyond our reasonable control. This section does not apply to the extent the law prohibits it.

You agree to defend, indemnify and hold harmless Osint Daily, Redwing Technologies LLC and their affiliates, licensors, members, managers, officers, employees, contractors and agents from and against all claims, damages, obligations, losses, liabilities, costs, debts and expenses (including reasonable attorneys’ fees) arising from: (i) your access to and use of the Services; (ii) your breach of these Terms, including any of your representations and warranties; (iii) your violation of any third-party right, including privacy or intellectual property rights; (iv) your violation of any law, rule or regulation; or (v) anyone else’s use of the Services through your account.

If you use the Services on behalf of a company or organization that becomes a sponsor or commercial partner, you may grant Osint Daily a non-exclusive, royalty-free, revocable right to use its name and logo solely to identify it as a sponsor or customer in our marketing materials, as agreed in writing. You may revoke this right at any time by written notice to us where that grant was made.

If you send us suggestions, ideas or other feedback about the Services, you assign to Osint Daily all rights in that feedback, including intellectual property rights, and we may use it for any purpose without compensation to you.

We may modify or replace any part of these Terms at our discretion. If a change is material, we will provide notice by posting an updated date on this page and, where appropriate, by email or on the Services before it takes effect; you are also responsible for reviewing these Terms periodically. Continuing to use the Services after changes take effect means you accept them. New features or services we add are subject to these Terms.
